1. Acceptance of Terms

By accessing and using MV Dining Guide (the "Site"), you accept and agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Site.

2. Description of Service

MV Dining Guide is an informational directory of restaurants on Martha's Vineyard, Massachusetts. The Site provides restaurant listings, descriptions, hours of operation, pricing indicators, and other related information for reference purposes only.

3. Accuracy of Information

While we strive to keep restaurant information current and accurate, we make no representations or warranties of any kind, express or implied, about the completeness, accuracy, reliability, or availability of the information on the Site. Restaurant details — including hours, menus, prices, and availability — may change without notice.

Users are strongly encouraged to contact restaurants directly to confirm details before visiting.

4. Intellectual Property

All content on the Site, including text, graphics, logos, images, design elements, and underlying code, is the property of MV Dining Guide or its content suppliers and is protected by applicable intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, or exploit any content from the Site without prior written consent.

5. User Conduct

  • Use the Site for any unlawful purpose or in violation of these Terms
  • Attempt to gain unauthorized access to any portion of the Site

6. Analytics, Tracking & Cookies

10. Limitation of Liability

IN NO EVENT SHALL MV DINING GUIDE, ITS OWNERS, OPERATORS, AFFILIATES, OR CONTRIBUTORS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SITE.

This includes, without limitation, damages for loss of profits, data, goodwill, or other intangible losses, even if we have been advised of the possibility of such damages.

11. Indemnification

You agree to indemnify, defend, and hold harmless MV Dining Guide and its owners, operators, directors, employees, agents, successors, and assigns from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorney's fees and legal costs) arising out of or related to your use of the Site, your violation of these Terms, or your violation of any rights of a third party.

12. Transfer, Assignment & Sale

MV Dining Guide reserves the unconditional right to transfer, sell, assign, license, sublicense, merge, or otherwise dispose of its rights and obligations under these Terms — along with the Site, its domain name(s), all associated content, intellectual property, trademarks, subscriber lists, analytics data, business records, and any other assets — to any third party, at any time, without prior notice to or consent from users. In such an event:

  • The acquiring party shall assume all rights, obligations, and benefits under these Terms from the effective date of the transfer
  • The original owner, operator, and all individuals associated with the original ownership shall be fully, unconditionally, and irrevocably released, discharged, and held harmless from any and all liabilities, claims, demands, actions, suits, obligations, debts, damages, costs, expenses (including attorney's fees), and responsibilities of any kind arising after the effective date of such transfer
  • This release and discharge applies regardless of whether such claims are known or unknown, foreseen or unforeseen, existing or arising in the future
  • Users' continued use of the Site after such transfer constitutes their irrevocable acceptance of the new operator's terms, policies, and practices
  • The new owner or operator may, at their sole discretion, modify, replace, or discontinue any or all aspects of the Site, including these Terms

The original owner shall bear no responsibility, liability, or obligation whatsoever for the actions, omissions, policies, practices, data handling, or any other activities of any subsequent owner, operator, or assignee of the Site following a completed transfer. This section shall survive any termination, expiration, or modification of these Terms.

No transfer or assignment by MV Dining Guide shall require user notification, and no user shall have any right to object to, delay, or prevent any such transfer or assignment.

13. Modifications to Terms

We reserve the right to update or modify these Terms at any time without prior notice. Changes become effective immediately upon posting. Your continued use of the Site after any modification constitutes acceptance of the updated Terms.

14. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, United States, without regard to its conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Dukes County, Massachusetts.

16. Entire Agreement

These Terms, together with the Privacy Policy and Cookies Policy, constitute the entire agreement between you and MV Dining Guide regarding your use of the Site. Any failure by us to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
